1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the Tee.box website, mobile application, and related services (together, the “Service”), provided by INTENDUM LTD (“Company”, “we”, “us”, “our”).

By accessing or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service.

By creating an account or using the Service, you represent and warrant that you meet this requirement and have the legal capacity to agree to these Terms.

If applicable law in your jurisdiction requires parental or guardian consent for use of the Service, you may use the Service only with such consent.

3. The Service

Tee.box is a golf companion application designed to provide golf-related features and services.

Depending on availability, the Service may include:

  • Golf course information and maps;
  • GPS-based position and distance measurements;
  • Digital scorecards;
  • Golf round tracking;
  • Player and game statistics;
  • Handicap-related information;
  • Shot and performance tracking;
  • Golf games, groups, competitions, and tournaments;
  • Live scoring and leaderboards;
  • Player profiles;
  • Social features;
  • Photos, videos, comments, and other user-generated content;
  • Golf history and performance analysis;
  • Free and paid golf-related functionality.

Certain functionality may require access to your device's location, internet connection, camera, photo library, notifications, or other device features.

We may modify, improve, replace, add, suspend, or remove features of the Service at any time.

We do not guarantee that every feature will remain available permanently or that all features will be available in every country, on every device, or for every golf course.

4. Golf data, GPS and course information

Tee.box may provide golf course maps, GPS positioning, distances, hole layouts, hazards, tee information, par information, scorecard information, and other golf-related data.

Such information may originate from Tee.box, golf clubs, users, mapping providers, satellite or aerial imagery providers, public sources, or other third parties.

Although we aim to provide accurate and useful information, golf course information may be incomplete, outdated, inaccurate, or affected by temporary course changes.

Golf courses may modify:

  • Tee positions;
  • Hole locations;
  • Greens;
  • Bunkers;
  • Hazards;
  • Out-of-bounds areas;
  • Cart paths;
  • Course routing;
  • Local rules;
  • Course boundaries;
  • Other course features.

You should always follow official golf course markings, local rules, tournament rules, and instructions provided by the golf club or tournament organizer.

GPS accuracy

GPS and distance measurements depend on factors outside our control, including:

  • Device hardware;
  • GPS signal quality;
  • Satellite availability;
  • Atmospheric conditions;
  • Location permissions;
  • Map or course data accuracy;
  • Device settings;
  • Temporary technical conditions.

Accordingly, distances and positions displayed by Tee.box are estimates and may differ from actual measurements.

You are responsible for determining whether the use of GPS devices, electronic distance-measuring devices, or other Tee.box functionality is permitted under the rules applicable to your game, competition, or tournament.

5. Scores, handicaps and tournament information

Tee.box may allow you to record and calculate scores, game results, statistics, handicap-related information, tournament standings, and leaderboard information.

Unless expressly stated otherwise, information displayed by Tee.box should not be treated as an official handicap record, official tournament result, or official golf club record.

Official handicap calculations and records may be governed by national golf associations, golf federations, clubs, handicap authorities, or systems such as the World Handicap System.

Where Tee.box integrates with an official handicap, golf federation, tournament, or golf club system, additional terms or rules of that third-party provider may apply.

You are responsible for checking the accuracy of scores and other information before submitting them to a golf club, federation, handicap authority, competition organizer, or other third party.

6. Your account

Certain features may require you to create a Tee.box account.

You agree to:

  • Provide accurate and current information;
  • Keep your account information up to date;
  • Maintain the confidentiality of your account credentials;
  • Not share your password or authentication credentials with unauthorized persons;
  • Notify us if you reasonably suspect unauthorized access to your account.

You are responsible for activities performed through your account, except where applicable law provides otherwise.

You may not impersonate another person, create an account using information you are not authorized to use, or access another person's account without permission.

We may suspend, restrict, or terminate accounts where reasonably necessary to:

  • Protect users or the Service;
  • Prevent fraud or abuse;
  • Address security concerns;
  • Comply with legal obligations;
  • Enforce these Terms.

7. Subscriptions, billing and renewals

Certain features of Tee.box may require a paid subscription (“Subscription”).

Available Subscription plans, pricing, billing periods, features, and applicable conditions will be displayed in the application, relevant app store, or checkout interface before purchase.

Prices may vary by jurisdiction, platform, currency, subscription plan, promotional offer, or applicable taxes.

7.1 Apple App Store subscriptions

If you purchase a Subscription through the Apple App Store:

  • Payment will be charged to your Apple ID account upon confirmation of purchase;
  • Your Subscription may automatically renew unless auto-renewal is disabled before the end of the current subscription period;
  • Apple will charge your account for renewal according to the subscription terms displayed by Apple;
  • Subscription management and cancellation are handled through your Apple account.

You can normally manage subscriptions through:

Settings → Apple ID → Subscriptions

Apple's own terms and conditions also apply to purchases made through the Apple App Store.

7.2 Google Play subscriptions

If you purchase a Subscription through Google Play:

  • Payment will be charged through your Google Play account;
  • Your Subscription may automatically renew unless cancelled before the applicable renewal date;
  • Google will process subscription payments and renewals;
  • Subscription management and cancellation are handled through your Google Play account.

Google's terms and conditions also apply to purchases made through Google Play.

7.3 Other payment methods

Where available, Tee.box may allow Subscriptions to be purchased through other authorized payment methods, including web checkout.

Payments may be processed by third-party payment processors.

The applicable price, billing period, renewal terms, taxes, and other payment conditions will be shown at the time of purchase.

7.4 Automatic renewal

Where a Subscription is identified as automatically renewing, it will continue to renew for successive subscription periods unless you cancel it in accordance with the applicable platform's cancellation procedures.

The applicable renewal price will be the price disclosed to you in accordance with applicable law and platform rules.

7.5 Trials and promotional offers

We may offer:

  • Free trials;
  • Promotional subscriptions;
  • Discounted introductory pricing;
  • Promotional codes;
  • Complimentary access;
  • Other special offers.

Eligibility and conditions may vary.

Any material conditions applicable to a trial or promotional offer will be disclosed when you activate it.

Unless otherwise stated, if a free trial converts into a paid automatically renewing Subscription, you must cancel before the end of the trial period to avoid being charged.

Promotional offers may be limited to certain users and may not be combined with other offers.

8. Cancellation

You may cancel a Subscription at any time.

Cancellation generally prevents future renewal but does not automatically provide a refund for a period already purchased, except where required by applicable law.

For subscriptions purchased through:

  • Apple App Store: cancel through Apple subscription settings;
  • Google Play: cancel through Google Play subscription settings;
  • Other authorized payment methods: follow the instructions provided at checkout or contact us at support@tee.box.

Deleting the Tee.box application from your device does not automatically cancel a Subscription.

Deleting your Tee.box account may also not automatically cancel a Subscription managed by Apple, Google, or another third-party payment provider. You must separately cancel the Subscription through the applicable provider where required.

9. Refunds

Refund rights depend on:

  • The platform through which you purchased the Subscription;
  • Applicable consumer protection law;
  • Your country or region;
  • The circumstances of the purchase.

9.1 Apple App Store refunds

For purchases made through the Apple App Store, Apple controls and processes refund requests.

You must request refunds using Apple's applicable refund process.

9.2 Google Play refunds

For purchases made through Google Play, refunds may be handled by Google in accordance with Google Play policies.

Where applicable, you should request a refund through Google Play.

9.3 Other purchases

For purchases made directly through Tee.box or another authorized payment method, contact: support@tee.box

Please provide sufficient information to identify the relevant transaction.

We will consider refund requests in accordance with applicable law and the purchase conditions presented to you at checkout.

Nothing in these Terms limits mandatory refund, cancellation, withdrawal, or other consumer rights that cannot legally be waived.

10. Acceptable use

You agree not to use Tee.box in a manner that:

  • Violates applicable laws or regulations;
  • Violates golf club, competition, or tournament rules where applicable;
  • Infringes the rights of another person;
  • Harasses, threatens, abuses, or harms another user;
  • Publishes unlawful, defamatory, deceptive, fraudulent, obscene, or infringing content;
  • Impersonates another person or organization;
  • Attempts to gain unauthorized access to the Service, another account, or related systems;
  • Interferes with or disrupts the Service or its infrastructure;
  • Introduces viruses, malware, malicious code, or other harmful technology;
  • Uses automated systems, bots, crawlers, scrapers, or similar technologies to access or extract information from the Service without our authorization;
  • Attempts to bypass technical restrictions or security mechanisms;
  • Reverse engineers, decompiles, disassembles, or attempts to derive source code from the Service except where such restrictions are prohibited by law;
  • Uses Tee.box data to build, train, or improve a competing product or service without our written authorization;
  • Systematically extracts, reproduces, or redistributes Tee.box golf course data, maps, imagery, databases, or other protected content;
  • Uses the Service for fraudulent scoring, manipulation of competitions, cheating, or falsification of golf-related information.

We may investigate suspected violations and may restrict, suspend, or terminate access where appropriate.

11. User Content

The Service may allow you to upload, create, record, publish, or share content, including:

  • Profile information;
  • Photos;
  • Videos;
  • Comments;
  • Posts;
  • Scores and scorecards;
  • Golf statistics;
  • Game information;
  • Tournament information;
  • Course-related information;
  • Reviews;
  • Other material you submit to Tee.box.

Together, this is referred to as “User Content.”

11.1 Ownership

You retain ownership of your User Content.

11.2 License to Tee.box

By submitting User Content, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your User Content to the extent reasonably necessary to:

  • Provide the Service;
  • Synchronize content across devices;
  • Display content to users you choose to share it with;
  • Operate games, tournaments, social features, and leaderboards;
  • Maintain and secure the Service;
  • Improve Tee.box and its functionality.

This license does not transfer ownership of your User Content to us.

To the extent technically and legally possible, this license ends when you delete the relevant User Content or your account, except where:

  • Content has been shared with other users and remains part of their legitimate use of the Service;
  • Retention is required by law;
  • Retention is reasonably necessary for security, fraud prevention, dispute resolution, or enforcement;
  • Temporary backup copies remain as part of normal technical operations.

11.3 Your responsibility for User Content

You represent and warrant that:

  • You own your User Content or have sufficient rights to submit it;
  • Your User Content does not violate applicable law;
  • Your User Content does not infringe intellectual property, privacy, publicity, or other rights of third parties;
  • You have any permissions necessary to upload photographs or videos containing other individuals.

We may remove or restrict User Content where reasonably necessary to enforce these Terms, comply with law, or protect users or the Service.

12. Social features and interactions with other users

Tee.box may provide social functionality that enables you to interact with other golfers.

Depending on the feature and your privacy settings, other users may be able to see information including:

  • Your name or username;
  • Profile picture;
  • Golf profile;
  • Handicap-related information;
  • Played rounds;
  • Scores;
  • Statistics;
  • Tournament participation;
  • Leaderboard results;
  • Photos;
  • Comments;
  • Other User Content.

You are responsible for the information you choose to make available to other users.

Interactions or arrangements between users that occur through or as a result of Tee.box are generally between those users. We are not responsible for the conduct of individual users except as required by applicable law.

13. Golf course and third-party content

Certain course maps, geographic information, satellite or aerial imagery, golf course data, photographs, logos, names, trademarks, or other materials available through Tee.box may be owned or licensed by third parties.

Your access to such content through Tee.box does not grant you ownership of that content.

You may use this content only as part of your normal personal use of the Service unless we expressly permit otherwise.

You may not independently extract, copy, download, reproduce, redistribute, resell, license, publish, or create a separate database from such content except where expressly permitted by us, the applicable rights holder, or applicable law.

14. Intellectual property

Except for User Content and third-party materials, the Service and its contents are owned by or licensed to the Company.

This includes, where applicable:

  • Tee.box software;
  • Source and object code;
  • Application design;
  • User interface;
  • Graphics;
  • Logos;
  • Trademarks;
  • Databases;
  • Golf course data;
  • Course graphics;
  • Map layers;
  • Algorithms;
  • Scoring systems;
  • Statistics systems;
  • Text;
  • Other proprietary content.

These materials are protected by copyright, trademark, database rights, and other intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use Tee.box for its intended purposes.

Except as permitted by applicable law or expressly authorized by us, you may not:

  • Copy;
  • Modify;
  • Sell;
  • Rent;
  • Lease;
  • License;
  • Distribute;
  • Republish;
  • Create derivative works from;
  • Commercially exploit

the Service or its protected content.

15. Third-party services

Tee.box may integrate with, rely on, or link to third-party services.

These may include, for example:

  • Apple services;
  • Google services;
  • Map and geolocation providers;
  • Golf clubs;
  • Golf federations and handicap systems;
  • Tournament platforms;
  • Payment processors;
  • Authentication providers;
  • Analytics providers;
  • Cloud infrastructure providers;
  • Other golf-related services.

Third-party services are operated independently and may be governed by their own terms, privacy policies, and other rules.

Except where required by applicable law, we are not responsible for third-party services, their availability, their content, or their actions.

16. Availability and changes to the Service

We aim to keep Tee.box available and reliable, but we do not guarantee continuous availability.

The Service may occasionally be unavailable due to:

  • Maintenance;
  • Updates;
  • Technical problems;
  • Internet or telecommunications failures;
  • Third-party service outages;
  • Security incidents;
  • Circumstances outside our reasonable control.

We may modify, suspend, discontinue, or replace any part of the Service.

Where required by applicable consumer law, material changes affecting paid services will be handled in accordance with applicable legal requirements.

17. Disclaimer of warranties

To the maximum extent permitted by applicable law, Tee.box is provided “as is” and “as available.”

We make no warranty that:

  • The Service will always be available;
  • The Service will be error-free;
  • GPS measurements will always be accurate;
  • Course maps or course data will always reflect current course conditions;
  • Scores, calculations, statistics, handicap-related data, or leaderboard information will always be error-free;
  • The Service will meet every user's individual requirements;
  • All functionality will work on every device or golf course.

To the maximum extent permitted by law, we disclaim warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

18. Limitation of liability

To the maximum extent permitted by applicable law, INTENDUM LTD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service.

This includes, where permitted by law, loss of:

  • Profits;
  • Revenue;
  • Business opportunities;
  • Data;
  • Goodwill;
  • Tournament results;
  • Golf scores or statistics.

In particular, we are not responsible for losses caused solely by reliance on inaccurate or outdated:

  • GPS measurements;
  • Course maps;
  • Hole positions;
  • Hazard positions;
  • Course conditions;
  • Score calculations;
  • Handicap-related information;
  • Tournament or leaderboard information,

except where liability cannot legally be excluded.

To the maximum extent permitted by law, the Company's aggregate liability for all claims relating to the Service during any 12-month period will not exceed the greater of:

(a) the amount you paid directly to the Company for the Service during that 12-month period; or (b) USD $100 if you paid nothing.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company from third-party claims, damages, liabilities, and reasonable costs arising directly from:

  • Your unlawful use of the Service;
  • Your material violation of these Terms;
  • User Content that infringes a third party's rights;
  • Your intentional misuse of Tee.box.

This Section does not apply to the extent prohibited by mandatory consumer protection law.

20. Termination

You may stop using Tee.box at any time.

You may also request deletion of your account in accordance with the functionality provided in the Service or our Privacy Policy.

We may suspend or terminate your access where reasonably necessary because of:

  • A material violation of these Terms;
  • Fraudulent or abusive activity;
  • Security risks;
  • Unauthorized access;
  • Legal or regulatory requirements;
  • Conduct that materially harms Tee.box or other users.

Where reasonably possible and required by law, we may provide notice before termination.

Termination of your Tee.box account does not necessarily cancel a Subscription managed by Apple, Google, or another third-party payment provider.

You must cancel such Subscriptions separately as described in Sections 7–9.

21. Governing law and consumer rights

These Terms are governed by the laws of Cyprus, without regard to conflict-of-law principles.

If you are a consumer in the European Union, European Economic Area, United Kingdom, or another jurisdiction that provides mandatory consumer protections, you retain all rights provided by applicable law.

Nothing in these Terms:

  • Removes mandatory consumer rights;
  • Prevents you from bringing a claim before a court that has jurisdiction under applicable consumer protection law;
  • Requires you to waive protections that cannot legally be waived.

22. Changes to these Terms

We may update these Terms from time to time to reflect changes in:

  • Tee.box functionality;
  • Business operations;
  • Applicable law;
  • Regulatory requirements;
  • Third-party services;
  • Security requirements.

When we update these Terms, we will publish the revised version and update the “Last Updated” date.

If changes are material, we may provide additional notice where appropriate or legally required.

Your continued use of the Service following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by applicable law.

If you do not agree to materially updated Terms, you should stop using the Service.

23. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be applied to the maximum extent legally permissible or severed where necessary.

The remaining provisions will continue in full force and effect.

24. Entire agreement

These Terms, together with our Privacy Policy and any additional terms expressly applicable to particular Tee.box services or purchases, constitute the agreement between you and the Company regarding your use of the Service.

They supersede prior agreements or understandings relating to the same subject matter, except where otherwise required by law.
